Wholesale Terms of Service

The commercial framework governing every TELULA sample, production run and private-label programme — MOQs, alloy tolerances, staged payments and the protection of your design IP.

Effective 1 October 2026Version 3.2B2B / Trade OnlyGoverning Law: PRC
Who these terms apply toThese Terms govern every quotation, sample order, purchase order and production run between Gray Commercial (Yancheng) Co., Ltd., trading as TELULA Fine Jewelry (“TELULA”, “we”, “us”) and the trade buyer (“Client”, “you”). By issuing a purchase order you confirm that you contract in the course of business, that you are authorised to bind your company, and that you accept these Terms to the exclusion of any conflicting purchase-order conditions.

TELULA is a business-to-business manufacturer. We do not sell to retail consumers; consumer sales are handled by our authorised retail partners.

1. Quotations & Price Validity

  • Quotations are issued ex-factory in USD or EUR and remain valid for seven calendar days from issue.
  • Metal content is priced against the LBMA / Shanghai Gold Exchange fix on the purchase-order date and locked for the production window.
  • Where the metal fix or certified stone cost moves more than 5% between quotation and PO date, the price is re-confirmed with you in writing before casting begins.
  • Tooling, mould-making and CAD development fees are quoted separately, are non-recurring, and are payable with the deposit.
  • All prices exclude freight, insurance and destination duties unless a DDP quotation is expressly requested.

2. Minimum Order Quantities (MOQ)

Programme MOQ
Sample development 1–2 pcs per SKU
Production run 30 pcs per SKU / metal colourway
High-carat, oversized or hand-fabricated pieces 15 pcs per SKU
Stone-matched sets (bridal) 20 sets
Custom private-label packaging 100 pcs per box or pouch design

MOQ is calculated per SKU and metal colourway. A single purchase order may combine multiple SKUs, metals and ring sizes, and collection launches may be delivered in staggered drops.

3. Alloy & Weight Tolerances

Every piece is weighed and measured against the approved CAD file before finishing. The following tolerances apply and are recorded on the packing list supplied with each shipment.

Parameter Tolerance
Cast metal weight ±3% of approved CAD weight
Hand-fabricated metal weight ±5%
Dimensional length / width ±0.5 mm
Ring size ±0.25 US size
Centre stone weight ±2%
Melee calibration ±0.05 mm
Gold purity (9K / 10K / 14K / 18K) ±0.3% assay variance
Platinum purity (Pt950) minimum 95.0%
Rhodium plating thickness 0.10–0.15 µm

Variation within these bands is inherent to the casting and setting process and does not constitute a defect. Any weight variance is reflected on the commercial invoice at the agreed metal rate.

4. Payment Stages

  • 50% deposit on purchase-order confirmation, 50% balance before shipment (50 / 50 staged payment).
  • Sample orders are settled 100% in advance; sample fees are credited against a first bulk order of 50 pcs or more.
  • Accepted methods: bank wire (T/T), Stripe card payment (+3.5% processing), Alibaba Trade Assurance.
  • A production slot is reserved only once the deposit has cleared. Bank charges and intermediary fees are borne by the Client.
  • Balances unpaid 14 days after readiness-for-shipment notice accrue storage and financing charges of 0.5% of invoice value per month.

5. Production & Lead Times

Standard production runs complete in 12–18 days from CAD approval and deposit clearance, inclusive of casting, setting, polishing, assay hallmarking and seven-point QC. Platinum, pavé-heavy and hand-fabricated orders run 20–25 days. Lead times exclude transit; please refer to our Insured Shipping & Delivery policy.

Where a specific certified stone must be sourced, we notify you within 48 hours of any change to the confirmed delivery window.

6. Intellectual Property & CAD Ownership

  • All designs, sketches, CAD files and technical drawings supplied by the Client remain the Client’s property.
  • A bilateral NDA is executed before any file exchange; TELULA will equally sign the Client’s own NDA template.
  • TELULA acquires no right to reproduce, publish, display or resell client-specific designs, and does not use client work in its catalogue or marketing.
  • CAD, renders and moulds developed against a Client brief are the Client’s exclusive property. Moulds remain in TELULA custody for repeat-order continuity and are released on written request after 12 months.
  • The Client warrants that it holds all rights to the designs it submits and indemnifies TELULA against third-party claims of infringement.

7. Sampling, Approvals & Change Orders

Each bespoke development includes two CAD revision rounds at no charge; further revisions are billed at USD 35 per hour. Once the Client approves the CAD and the mould is cut, dimensional or design changes require a new purchase order with tooling re-quoted. The approved CAD file is the sole quality benchmark against which production is inspected.

8. Inspection, Claims & Returns

  • Goods must be inspected within seven calendar days of delivery; discrepancies must be reported in writing with photographs and the invoice number.
  • An RMA reference is required before any return. Unauthorised returns are refused.
  • Our accepted defect rate is below 1%; defective units are repaired, replaced or credited at our cost, with return freight covered by TELULA for valid claims.
  • Bespoke, engraved, private-label and made-to-order items are non-returnable where no manufacturing defect exists.

9. Cancellation & Force Majeure

Orders cancelled after casting begins forfeit the deposit and any non-recoverable material cost. Neither party is liable for delay caused by events beyond reasonable control, including metal or stone supply disruption, export control changes, freight embargoes, epidemic control measures or port closure. The affected party will notify the other within five business days and the delivery window is extended accordingly.

10. Governing Law & Dispute Resolution

These Terms are governed by the laws of the People’s Republic of China. Disputes that cannot be resolved amicably within 30 days are referred to arbitration at CIETAC (Shanghai) in English, before a single arbitrator. The prevailing party recovers reasonable arbitration costs. Nothing in this clause limits either party’s right to seek interim injunctive relief to protect confidential information or intellectual property.
